XP Pro SP2 rundll32.exe appears twice in TaskManager

According to the info I have through Googling, rundll32.exe should not normally show in task manager (XP) unless there is a problem. I know one virus version can be in Windows folder (as opposed to Windows/system32). I have one in Windows/system32 and one in Windows/system32/dllcache. One is over 3K and one over 5K when running in TaskManager. Their properties show they were created on the same day (last February when I had a reinstall) but at slightly different times. Virus scans etc. shows nothing. Any ideas if I have a problem folks? Nothing particularly untoward is happening apart from the occasional hang when shutting down.

Perhaps a DLL associated with a device (a sound or video card) is being started by the RUNDLL32.EXE program?
